Agreement

These Terms of Service (“Terms”) govern your access to and use of the ZERO88ZERO Digital website at 0880.digitaland any services provided by ZERO88ZERO Digital Inc. (“we,” “our,” or “us”). By accessing this site or engaging our services, you agree to these Terms.

Services

ZERO88ZERO Digital provides digital distribution strategy, brand positioning, web design and development, SEO and PPC, and AI-powered marketing services. The specific scope, deliverables, timelines, and fees for any engagement will be documented in a separate Statement of Work (SOW) or Master Services Agreement (MSA).

Engagement and Payment

Project scope

Every client engagement requires a signed Statement of Work that defines the deliverables, timeline, milestones, and total fee. Work begins after the SOW is signed and any required deposit is received.

Payment terms

Unless otherwise agreed in writing, payment terms are as follows:

  • Fixed-price projects: 50% deposit upon signing, 50% upon delivery
  • Retainers: Billed monthly in advance, due upon receipt
  • Late payments: Subject to a 1.5% monthly late fee and may result in work suspension

Intellectual Property

Client work

Upon full payment, all deliverables created specifically for the client (designs, code, content) become the client's property. ZERO88ZERO Digital retains the right to showcase the work in our portfolio and case studies unless a confidentiality agreement is in place.

Pre-existing materials

ZERO88ZERO Digital retains ownership of any pre-existing frameworks, methodologies, templates, code libraries, or proprietary tools used to deliver services. Clients receive a perpetual license to use these within the delivered work.

Third-party assets

Any third-party assets (stock imagery, fonts, plugins) used in client work are licensed under their respective terms and may require the client to maintain valid licenses.

Client Responsibilities

Clients agree to:

  • Provide timely feedback, approvals, and required materials
  • Ensure any content or assets provided do not infringe third-party rights
  • Make payments according to the agreed schedule
  • Communicate openly about changes in scope, priorities, or timeline

Revisions and Changes

Each SOW includes a defined number of revision rounds. Additional revisions or out-of-scope requests are billed at our then-current hourly rate and require a written change order.

Confidentiality

Both parties agree to keep confidential information (including business plans, financial data, and technical details) private and use it only to perform obligations under the engagement.

Limitation of Liability

To the maximum extent permitted by law, ZERO88ZERO Digital's total liability for any claim arising from an engagement is limited to the total fees paid by the client for the specific project giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits or opportunities.

Warranties

We warrant that our services will be performed with reasonable skill and care. We do not warrant specific business outcomes, conversion rates, search rankings, or revenue growth, as these depend on many factors outside our control.

Termination

Either party may terminate an engagement with written notice as specified in the SOW. Upon termination, the client is responsible for payment of all work completed up to the termination date.

Website Use

You may use this website for lawful purposes only. You agree not to:

  • Attempt to gain unauthorized access to any part of the site
  • Use automated systems to scrape or extract data
  • Interfere with the site's operation or security
  • Submit false, misleading, or harmful information through our forms

Governing Law

These Terms are governed by the laws of the jurisdiction in which ZERO88ZERO Digital operates. Any disputes will be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or the applicable courts.

Changes to These Terms

We may update these Terms from time to time. The effective date at the top reflects the most recent version. Continued use of the site after changes constitutes acceptance of the updated Terms.
